CHOICE OF ENTITY

DESCRIPTION:
The choice of entity is often the single biggest tax decision made during the entire life of a typical business enterprise. The choice of entity affects not only the operation of the company at start-up, but how it grows into a mature business and ultimately whether the owners can sell the business at a minimum tax cost.

This course will explore how to advise a client on choosing the best business entity for that client’s business or real estate activities. The course will review all the common business entities used in Massachusetts, including C corporations, S corporations, limited liability companies, limited liability partnerships, Massachusetts business trusts, Massachusetts nominee trusts, and sole proprietorships. The course will review the benefits of “pass-through taxation”, and will explore which businesses belong in an S corporation and which belong in an LLC. It will examine which vehicles are the best for granting options or equity interests to employees; best of utilizing loses in an early start-up year; best for establishing and offering employee benefits; and best for achieving flexibility in restructuring or selling part of the business later on. Ultimately, the course will demonstrate that, while there I no single “right” choice of entity, there are clear strategies for arriving at the right choice for a particular client.

DESCRIPTION:
This seminar will explore all important aspects of the classification of workers, and, in particular, whether a worker can qualify as an independent contractor, whose payments are not subject to withholding and are reported on Form 1099, or whether the worker must be classified as an “employee,” subject to withholding tax and reported on Form W-2.

For a variety of reasons, this issue, which was very hot in the 1990s, is back on the radar screen of both the IRS and the Department of Labor. This course will address why the issue is again so “hot,” what “abuses” the IRS and the Department of Labor are looking to prevent, and strategies for minimizing risk. The course will also explore how best to mitigate the harm if the IRS challenges worker classification, and will review other legal risks and complications, including the possibility that “independent contractors” will later sue for benefits given to employees (as happened to Microsoft). The course will also look at the taxation of litigation settlements, and whether a Form 1099 must be issued in a variety of situations, or whether the payment falls outside the reporting provisions.

DESCRIPTION:
In February of 2006, the Deficit Reduction Act of 2005 was signed into law and dramatically changed the “Medicaid” rules. These rules became more restrictive in a number of areas, including, but not limited to, an increase in the look back period to five years, restrictions on annuities, limiting the equity protected in the home and implementing a new starting date for determining periods of disqualification. Under the new law, long-term care insurance may become more attractive in certain states. In addition, the specific date in which Massachusetts will adopt these rules is unclear.

This course will examine and compare the old and new Medicaid rules, when the old rules still apply and the effect these new rules have on planning before and after Massachusetts adopts the new regulations. In addition, viable irrevocable trust planning and transfers of remainder interests with retained life estates will be explored along with their related income, estate and gift tax ramifications.

This course is designed to provide an up to the minute look at the required minimum distribution rules for a qualified retirement plan. The final regulations will be reviewed in depth and the private letter rulings issued since the final regulations will also be discussed. In addition sections of the Pension Protection Act of 2006 affecting distributions from qualified retirement plans will be discussed. They will provide strategies for maximizing IRA stretch-outs (obtaining income tax deferral after death for decades) and dealing with the estate tax and planning issues that are unique (and often ignored) regarding qualified retirement plans. The concept of the “Inherited IRA” will be explored and the practical aspects of cash flow in and through the retirement accounts will be explained. The instructors will examine, in detail, the practical aspects of using trusts as beneficiaries, IRA sub-accounts, disclaimers, and the effect of various complex beneficiary designations. They will discuss the post mortem activities required to actually make stretch-outs work, and some of their experiences funding family, marital, and children’s trusts with IRA assets.

The discussion will include several case studies from their own practice. Your instructors will share beneficiary forms and other ancillary documents developed in their respective practices. Finally, they will also include significant practice management advice and marketing concepts throughout their presentation. The goal of this course is to move beyond “understanding” the required minimum distribution rules and toward incorporating an expertise in individual retirement accounts into your practice.
